1. Application:
1.1.The following terms and conditions of sale ("Terms") shall apply to all sales of commodities and services made by DZG from its website ("Website"). These Terms shall prevail over any purchase conditions.
1.2. By ordering a product offered for sale from Website you expressly acknowledge having examined and fully agreed to Terms.
1.3. You certify that you have full legal capacity allowing you to commit yourself to Terms.
1.4. DZG reserves the right to modify Terms at any time and without notice.
2. Payment method and conditions:
2.1. If you wish to purchase a licence for one of our products, you can pay online using your credit or debit card. DZG accepts Visa Debit/Credit, Visa Electron, JCB, MasterCard, Solo, UK Maestro (Switch), American Express cards. We do not currently accept any other payment methods.
2.2. Product prices are stated in Great Britain Pounds, Euro and United States Dollars, exclusive of Value Added Tax ("VAT") at the rate prevailing at the time of purchase which will be added to the price when applicable before completing the purchase. Please see HM Revenue and Customs website for more details on the VAT rules.
2.3. In the event that you place an order from a country other than the United Kingdom, you are the importer of the product(s) concerned. For all products downloaded from a country located outside the European Union or dispatched outside the European Union, the price will be calculated exclusive of VAT. You may be liable to pay customs or import duties, national, local, city or state sales taxes . Such duties and taxes do not come under the authority of DZG and by placing an order you expressly acknowledge your sole responsibility for accounting for and paying all such duties and taxes to the competent authorities and organisations.
2.4. DZG reserves the right to modify its prices at any time. The products will be invoiced according to the prices in force at the time of the order completion and subject to product availability.
2.5. DZG reserves the right to cancel any order from a customer with whom there may be a dispute with respect to the payment of a previous order.
2.6. An online payment will be confirmed by e-mail. The electronic invoice (PDF format) which confirms the sale will be sent to the e-mail address that you supply at the time of purchase within 24 working hours of such purchase.
3. Refunds:
3.1. DZG guarantees that the product will perform according to its specification - in the event that it does not, providing DZG receives written notice of the defect or error in question no later than the expiry of thirty (30) days after installation DZG will, at the sole discretion of DZG, either fix the problem within thirty (30) days or refund the purchase price, subject to the terms of Licence Agreement.
4. Product features and order validation:
4.1. You may study the product's features on Website and download a copy of the product for evaluation for a trial period of thirty (30) days.
4.2. By providing the registration information that you enter in the online purchase form ("Registration Information"), you guarantee that Registration Information is valid and correct, and acknowledge that the person named in the Registration Information will be the legal licensee of the product. The Registration Information will be used to generate the licence key. DZG reserves the right to refuse to re-issue licence keys. You have the right to rectify or modify the Registration Information, excluding FTP server address and Installation ID, by contacting DZG via email at support@devzerog.com.
4.3 You confirm that the product you are purchasing from Website will be used within the country that you have specified in Registration Information.
4.4. As of the time you complete your order by clicking on the icon "Validate the payment" you are deemed to have knowingly and unreservedly agreed to Terms, as well as the prices, volumes, quantities, features and description of the products ordered.
5. Choice of products:
5.1. The choice of products, after having studied their features, is made under your sole responsibility and liability according to your needs such as previously determined by you before any order. You alone know about the equipment, software, configurations and other elements that you are using and are therefore the sole judge of the compatibility of the products ordered with those you are using.
6. Limited liability:
6.1. DZG warrants that the program shall after installation provide the facilities and functions set out in its specification when properly used on the user's equipment. DZG shall have no liability or obligations under this warranty unless DZG receives written notice of the defect or error in question no later than the expiry of thirty (30) days after installation. When notifying a defect or error you shall (so far as you are able) provide DZG with a documented sample of such defect or error. Please read Licence Agreement for further details.
7. Force Majeure:
7.1. DZG will not be held responsible for non-fulfilment of its obligations in the event of production discontinuance, act of god, disturbances or general or partial strike, communication, flood or fire.
8. Intellectual Property Rights:
8.1. DZG is the owner of all Intellectual Property Rights in or relating to its products. The sale of Software and other products under no circumstances involves transfer of any ownership or proprietary interest in any Intellectual Property Rights in DZG products to you or any third party. DZG reserves the right to grant licences to use its products to any other party or parties.
9. Partial invalidity:
9.1. Should one of the clauses in Terms be declared null and void, or not stated in writing, the other provisions shall still remain valid.
10. Non-waiver:
10.1. The fact that DZG does not claim a breach by the other party of any one of the obligations stated in Terms will not be construed as a final waiver of the obligation at issue.
11. Disputes:
11.1. Terms shall be governed by and construed in accordance with the laws of England. All disputes, claims or proceedings between the parties relating to validity, construction or performance of Terms shall be subject to the non-exclusive jurisdiction of the High Court of Justice in England to which the parties hereby irrevocably submit.
